1. Service scope

Nexikos provides property-management tools. Available features depend on the company plan and may evolve for technical, legal or service-quality reasons.

2. Account and company

A person creating a company confirms that they are authorised to act for it. They are responsible for user access granted to others and for keeping credentials confidential.

3. Trial and subscription

Essentiel is offered free for 30 days on registration unless a different offer is shown at signup. Paid features require an active subscription after that period.

4. Basique mode after trial, non-payment or cancellation

Without an active subscription, the account moves to Basique mode: 1 user, 1 property, 5 leases and data export at any time. Existing data is not deleted merely because of the plan change, although some features may become unavailable or read-only.

5. Pricing and payment

Applicable prices are those shown on the website or agreed with the customer. Any applicable taxes are shown during invoicing. If payment fails or is overdue, paid features may be suspended after the applicable notices.

6. Data and export

The customer remains responsible for its business data. Nexikos allows export at any time, including in Basique mode. Customers remain responsible for keeping any additional copies required for legal or accounting obligations.

6a. Backups

The entire site and service (database, files, documents and attachments of all companies) is backed up automatically on two cycles: an hourly backup, made every hour when data has changed since the previous one, and a daily backup. Hourly copies are kept on a rolling basis: at least the latest twenty-four are kept, each new copy replacing the oldest. Daily backups are normally kept for 15 days, at least fifteen days, and then deleted automatically. A restore can only return data to the state of the last available backup: entries, changes and documents made since that last backup (up to one hour of activity) may be permanently lost in the event of an incident, outage, handling error or attack. To the fullest extent permitted by mandatory law, the operator is not liable for data lost between two backups. Backups serve to restore the service as a whole; they are not an archive available to the customer, who cannot request items from them one by one, and the operator is not obliged to restore a single company’s data or an earlier version of a document separately. Customers wanting additional security regularly make their own exports. Wilful intent and gross negligence of the operator remain reserved (art. 100 para. 1 CO).

6b. Operator access to data

For support, security and legal compliance, the operator may access customer data through a dedicated administration account protected by two-factor authentication, read-only unless expressly authorised; every access is logged (date, organisation, screen or object viewed, masked IP address) and the log is retained.

7. Acceptable use

The service must not be used unlawfully, to bypass security controls, infringe third-party rights or process data without an adequate legal basis.

7a. Customer content

The customer is solely responsible for the data, texts, documents and files it enters, imports or transmits through the application, and for their accuracy, lawfulness and the necessary rights (in particular the data protection of its tenants, clients and principals). The operator does not review such content and assumes no liability for it, within the limits of mandatory law; it may delete or block any content that is manifestly unlawful or reported as such. The customer shall hold the operator harmless from any third-party claim relating to such content.

8. Availability and maintenance

The operator aims for high availability but does not guarantee uninterrupted operation. Maintenance, technical incidents or security work may temporarily affect features.

9. Liability

To the extent permitted by law, the operator is not liable for indirect losses or decisions made solely on the basis of software output. Customers remain responsible for checking documents and data before official use.

9a. Security and data breaches

The operator implements reasonable technical and organisational security measures (encrypted connections, access control, backups, logging). The customer nevertheless understands and accepts that no IT system is fully protected against attacks, errors or failures, and that a data breach, data loss or unauthorised access to data can never be ruled out. To the fullest extent permitted by applicable law, the operator cannot be held liable for damage resulting from a data breach, in particular from unauthorised access by third parties, except in case of wilful misconduct or gross negligence. The customer remains responsible for keeping its users’ credentials confidential, for its own exports and backups, and for its obligations towards the data subjects. In the event of a data security breach, the operator informs the customer as soon as possible.

9b. Limitation of liability

To the fullest extent permitted by applicable law, the operator’s liability for slight and moderate negligence is excluded, as is liability for its auxiliaries (art. 101 para. 2 Swiss Code of Obligations). In particular, any liability is excluded for indirect or consequential loss, loss of profit, loss of rent, savings or customers, loss or corruption of data (including data entered or changed between two daily backups, section 6a), calculation, deadline or content errors in generated documents, service interruptions and acts of third parties (hosting, payment provider, email provider, cyberattacks). Where the operator is nevertheless liable, its total liability for all damage in a calendar year is limited to the fees actually paid by the customer in the twelve months preceding the damaging event, and to zero for an account in Basique mode or in a trial period. Mandatory statutory provisions, in particular for wilful misconduct or gross negligence (art. 100 Swiss Code of Obligations), remain reserved. Any claim must be notified to the operator in writing within 60 days of becoming aware of the damage; a calculation, due-date or statement error discovered only when the accounts are closed may be reported within six months of the document’s issue. The operator is not liable for delays or non-performance caused by force majeure or events beyond its reasonable control.

9c. Customer obligations and indemnity

The customer is solely responsible for the content it enters, imports or sends with Nexikos, for compliance with tenancy law and data-protection law (it acts as controller for its tenants’ and principals’ data, the operator as processor), and for the accuracy of rents, statements, reminders, formal notices and other documents before use. The customer indemnifies and holds the operator harmless from any claim, fine, cost and expense, including reasonable legal fees, brought by tenants, principals, authorities or other third parties in connection with the use of the service by the customer or its users, or with a breach of these terms.

9d. Service provided “as is”

The service is provided “as is” and “as available”. The operator does not warrant that the service is error-free, fit for a particular purpose or suited to the customer’s legal situation; Nexikos provides no legal, tax or accounting advice. The operator may at any time develop, restrict or withdraw features, and change prices and these terms after prior notice; it may suspend access without notice in the event of a security risk, misuse or non-payment. The operator may use subcontractors of its choice (hosting, payment, email).

9e. Availability, defects and maintenance

The operator handles bugs, malfunctions, interruptions and downtime, planned or not, on a best effort basis, with no obligation of result. It guarantees neither the availability of the service nor any response or resolution time, and makes no uptime commitment. Fixes are made as quickly as reasonably possible, without a guaranteed deadline. Planned maintenance is announced when possible. Maintenance, technical incidents, provider outages (hosting, e-mail, payment) or security measures may make the service temporarily unavailable. Interruptions and bugs give no right to any compensation, credit or refund, except where the law requires it. Liability for intent or gross negligence remains reserved (art. 100 para. 1 CO). The hourly and daily backups described in section 6a limit data loss in the event of an incident. No service level is guaranteed unless separately agreed in writing.

10. Cancellation and transfer

Either party may unilaterally terminate the agreement using the methods shown in the account or otherwise agreed contractually, subject to mandatory obligations and amounts already due. At the customer’s request and after authorisation checks, the Nexikos subscription, application access and company data may be transferred to another company; the operation is audit logged and the receiving company assumes the corresponding rights and obligations. After cancellation, the account may remain available in Basique mode for limited access and data export.

10a. Commercial and advertising communications

The customer authorises Nexikos, to the extent permitted by applicable law, to use account and business contact details to present Nexikos services, news, offers or commercial and advertising content. Tenant or other third-party data is excluded unless an appropriate legal basis exists. The customer may object to such communications or withdraw consent at any time.

10b. Transfer of the application to another company

Within the limits of mandatory law, the operator may, at any time and without requesting the customer’s prior consent, transfer in whole or in part to one or more other companies the Nexikos application, in particular its operation and management, the invoicing and collection of subscriptions, support, maintenance and development, as well as the ongoing agreements and the data required to continue the service, including in the event of a sale, merger, takeover or reorganisation. By accepting these terms, the customer consents in advance to any such transfer or assignment. The customer is informed in an appropriate manner. However, business data and production backups remain hosted in Switzerland, even after the transfer, and the acquiring company takes over the operator’s data-protection commitments. The customer is informed, where possible, at least 30 days in advance; if the acquirer moves the hosting of the data outside Switzerland or materially lowers their level of security, the customer may terminate with immediate effect and export its data, the unused part of the period already paid being refunded.

10 quater. End at term and suspension

The operator may decide not to renew the agreement and end it at the end of the paid period, without notice. Data export remains available for a reasonable period of at least 30 days. In the event of abusive use or use contrary to these terms (fraud, abuse, security threats, unlawful content, non-payment…), the operator may suspend access or terminate the agreement with immediate effect; amounts due remain due and no refund is owed, subject to mandatory law.

11. Changes

These terms may be updated. Material changes affecting an active subscription will be communicated appropriately.

12. Governing law

Swiss law applies. Subject to mandatory statutory venues, jurisdiction is at the operator’s registered office.

12a. Severability

If any provision of these terms, in particular a limitation of liability, is held void or unenforceable, it is replaced by the valid provision closest to the parties’ intent, in particular by the broadest limitation of liability permitted by applicable law; the remaining provisions remain in force.

13. Customers

The service is intended for property management firms, managers, businesses and owners who let real estate. The customer confirms that it uses the service for this letting or management activity. Where the customer is a consumer within the meaning of applicable law, the mandatory provisions protecting it take precedence over these terms.

14. Changes and notice

Any material change to the terms or prices is announced at least 30 days before it takes effect, by e-mail or by a notice in the application. A customer who refuses it may cancel before that date; until the end of the period already paid, the previous terms continue to apply. A purely editorial change, or one required by law or by an authority, may take effect earlier. The new version is confirmed in the application; failing that, continued use after it takes effect constitutes acceptance. All versions remain available on request.

15. Acceptance and proof

The contract signed at sign-up is archived as a PDF with its version, timestamp and digital fingerprints (SHA-256) of the signature, the IP address and the device; acknowledgement of each new version is recorded per user with the version and the date. These records are binding between the parties, unless proven otherwise.

16. Data ownership and reversibility

The customer remains the owner of its data and documents. It grants the operator, for the term of the contract and then the rotation of backups, a non-exclusive, royalty-free licence limited to what is necessary to host, process, back up, secure and transmit these data in order to provide the service and comply with the law; the operator uses them for no other purpose. The customer may export its data at any time in common formats, including in Free mode; the operator does not guarantee that they can be imported into other software.

17. Prohibited uses

It is prohibited to use the service to send unsolicited messages, to commit or facilitate fraud, to issue fictitious or misleading documents, to impersonate others, to process data without a legal basis, to circumvent the plan’s limits or the security measures, to copy, mass-extract or decompile the software, to share an account outside the customer’s organisation or to overload the service deliberately. Depending on the seriousness, the operator issues a warning, suspends all or part of the access or terminates the contract; in case of a security risk or a manifest breach of the law, it may act without prior warning.

18. Processing of data on behalf of the customer

For the data of tenants, principals and other persons that the customer enters, the customer is the controller and the operator acts as processor within the meaning of art. 9 nFADP (and, where applicable, art. 28 GDPR). The operator processes them only to provide the service and in accordance with the instructions given through the use of the application; it binds authorised persons to confidentiality, applies appropriate security measures, informs the customer as soon as possible of a data security breach, reasonably assists it in responding to requests from data subjects and deletes the data at the end of the contract. The customer authorises the use of the sub-processors listed in the privacy policy; any new sub-processor is announced under the change procedure, and a customer who refuses it may terminate. The data remain hosted in Switzerland.

19. Force majeure

Neither party is liable for failure to perform its obligations caused by an event beyond its reasonable control, in particular natural disaster, war, terrorism, epidemic, decision of an authority, general power or telecommunications failure, major failure of the hosting provider or a cyberattack of exceptional scale. The obligations concerned are suspended for the duration of the event, without compensation. If the interruption lasts more than thirty days, either party may terminate the contract with immediate effect.

20. Service and commercial presentation

Backups are a security measure of the operator, not a service-level commitment. Commercial pages, documentation and advertising describe the service; they are neither a warranty nor a commitment to a result, and only these terms are authoritative.

21. Language

These terms are drawn up in French, German, Italian and English. In the event of discrepancy between these versions, the French version prevails.

22. Intellectual property

The Nexikos software, its brand, interface, texts and graphic elements are the property of Leologic Sàrl, holder of all intellectual property rights, which also operates the service. The customer receives a non-exclusive, non-transferable right of use, limited to the term of its subscription and to normal use of the service; no other right is assigned. The data and documents entered by the customer remain its property (section 16).
